Terms of Service

These terms govern your access to and use of the SOPO Shield+ platform across all user roles. Please read them carefully.

SOPO Shield+ is owned and operated by Wedidit Limited, a private limited company registered in Hong Kong, with registered address at House 5, Bellevue Garden, 26 Cheung Chau Peak Road, Cheung Chau, Hong Kong.

1. Introduction

These Terms of Service (“Terms”) form a binding agreement between you and Wedidit Limited, a company incorporated in Hong Kong, trading as “SOPO Shield+” (“Wedidit Limited”, “we”, “us” or “our”), governing your use of the SOPO Shield+ platform (the “Service”). By creating an account or using the Service, you agree to these Terms.

SOPO Shield+ provides software tools for project management and document automation. Analytical features are for reference only and do not constitute automated decision-making. SOPO Shield+ does not provide legal, financial, or professional advice. SOPO Shield+ is a software-as-a-service (SaaS) platform. We sell software subscriptions, not professional services.

2. Definitions

  • Service — the SOPO Shield+ web platform and related features.
  • User — any person or entity that accesses the Service.
  • Subcontractor / Main Contractor — construction parties using the Service to manage payments and disputes.
  • Adjudicator — a qualified professional listed in our informational directory. Users engage adjudicators directly; we are not a party to that engagement.
  • Regulator — an authorised body granted access to anonymized, aggregated analytics.

3. Account Registration

You must provide accurate, current and complete information when registering and keep it up to date. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly of any unauthorised use.

4. User Roles and Responsibilities

All Users

You agree to use the Service lawfully, to provide accurate information, and not to misuse, disrupt or attempt to gain unauthorised access to the Service.

Subcontractors

You are responsible for the accuracy of the payment claims, evidence and documents you submit, and for meeting any statutory deadlines applicable to your claims.

Main Contractors

You are responsible for issuing timely payment responses and for the accuracy of the information you provide in response to claims.

Adjudicators

Adjudicators listed in the informational directory must disclose and manage any conflict of interest, decline appointments where independence is compromised, and act impartially. Listing is free. We do not process bookings, payments, or fees between adjudicators and users, and we do not charge a commission on adjudication fees.

Regulators

Regulators may access only anonymized, aggregated data. No individual user or project data is made available to regulators, and any attempt to re-identify individuals is prohibited.

5. Subscription and Payments

Paid tiers are billed in advance on a recurring basis (monthly or annual, with a 20% discount on annual plans). Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders — Paddle handles payment processing, tax collection, invoicing, refunds and customer service inquiries related to billing. We offer a 30-day money-back guarantee on new paid subscriptions — see our Refund Policy for details. After the initial 30 days, subscription fees are non-refundable except where required by law. You may cancel any time from your account settings; access continues until the end of your current billing period.

6. Software, Not Professional Services (AI Disclaimer)

SOPO Shield+ is a software-as-a-service (SaaS) platform. We sell software subscriptions, not professional, legal, financial or advisory services.

Any analytical features — including the Dispute Risk Indicator, reputation scores and similar reference tools — are provided for informational purposes only. They highlight potential patterns based on historical data. They do not make, or materially influence, any decision about a person, and do not constitute automated decision-making. All final decisions rest with the user.

The adjudicator directory is an informational listing. We do not act as an agent for any adjudicator, do not process fees or bookings, and do not guarantee any outcome.

7. Regulator Access (Enterprise Tier)

Regulator access is available under our Enterprise tier and is subject to approval. It provides anonymized, aggregated analytics only. Access may be time-limited and revoked where the conditions of access are not met.

8. Intellectual Property

The Service, including its software, design and content, is owned by us or our licensors and protected by intellectual property laws. You retain ownership of the data and documents you upload, and grant us a limited licence to process them solely to provide the Service.

9. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential losses, or for lost profits, data or business opportunities. Our total liability arising from the Service is limited to the fees you paid in the twelve months preceding the event giving rise to the claim.

10. Not Legal Advice

SOPO Shield+ provides tools for timeline management, document generation, and compliance tracking. It does not provide legal advice. Users should consult qualified legal professionals for advice on SOPO compliance, adjudication proceedings, and contractual matters.

The Service provides tools, information and document templates for informational and administrative purposes only. It does not constitute legal advice and is not a substitute for advice from a qualified lawyer or professional. You should seek independent professional advice before relying on any output for a specific matter.

10.1. Software Only

SOPO Shield+ is a software platform. We provide tools for tracking deadlines, generating draft documents, organizing project staffing, and managing project records. We are not a law firm, employment agency, escrow provider, insurer, or adjudicator. We do not represent users in any dispute, do not employ or supply workers, and do not hold or transfer funds on behalf of users except through third-party payment processors clearly identified at the point of transaction.

10.2. AI Disclaimer

Certain features (including the Dispute Risk Indicator and document automation) use algorithmic or AI-assisted analysis. These outputs are analytical references only, may contain errors or omissions, and are not a substitute for professional judgement. All final decisions are the user’s responsibility. Draft documents generated by the platform must be reviewed by a qualified legal professional before use.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, losses or expenses arising from your use of the Service, your breach of these Terms, or your violation of any law or third-party rights.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or use the Service unlawfully. Provisions that by their nature should survive termination will continue to apply.

13. Governing Law

These Terms are governed by the laws of the Hong Kong Special Administrative Region, and the courts of Hong Kong have exclusive jurisdiction, without prejudice to any mandatory consumer protections that may apply in your region.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be notified through the platform or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
